General Terms & Conditions & License Terms

for Digital Products by Novel Devolution

Effective date: 30.12.2025

1. Scope of Application

1.1

These General Terms and Conditions (GTC) apply to all digital products, in particular software, scripts, plugins, modules, documentation, and individual development services (hereinafter referred to as “Products”) that are offered, sold, or provided by Novel Devolution.

1.2

These GTC apply regardless of whether the purchase is made via an own shop, third-party platforms (e.g. Tebex), or based on individual agreements.

2. Grant of License & Rights of Use

2.1

Novel Devolution grants the purchaser a non-exclusive, non-transferable, and perpetual license to use the purchased Products exclusively for their own use.

2.2

The license permits private and/or commercial use within the purchaser’s own project, server, or company.

2.3

In particular, the following is prohibited:

• Distribution to third parties

• Resale

• Rental or lending

• Sublicensing

• Publication (including free of charge)

This also applies to modified or derivative versions of the Products.

3. Modifications & Customization

3.1

The purchaser is entitled to modify, adapt, or extend the Products for personal use, insofar as this is necessary for use within their own project.

3.2

Modified versions may not be distributed to third parties or marketed as independent products.

4. Copyright & Ownership Rights

4.1

All copyrights, ownership rights, and other intellectual property rights remain exclusively with Novel Devolution.

4.2

The purchase of a Product does not transfer any ownership rights to the source code or other components.

5. Protective Measures & Reverse Engineering

5.1

It is prohibited to remove, circumvent, or disable existing protection mechanisms.

5.2

Reverse engineering, targeted analysis for the purpose of replicating functionality, or use as a basis for own products intended for distribution is not permitted.

6. Custom Development & Individual Services

6.1

Individual development services are provided exclusively on the basis of a separate agreement (e.g. offer, order description).

6.2

Unless expressly agreed otherwise, all copyrights remain with Novel Devolution even in the case of custom development, while the client is granted a right of use in accordance with Section 2.

7. Support & Updates

7.1

Novel Devolution provides support to a reasonable extent, limited to:

• Installation assistance

• Basic usage

• Reproducible errors in the delivered Products

7.2

No support is provided for:

• Individual customizations

• Modifications made by the purchaser

• Incompatibilities with third-party software

• Issues caused by improper use

7.3

Updates, extensions, or new features are not part of the purchase agreement unless expressly guaranteed.

8. Liability & Warranty

8.1

The Products are provided as digital content. There is no claim to error-free operation.

8.2

Novel Devolution is liable only in cases of intent and gross negligence.

8.3

In cases of slight negligence, Novel Devolution is liable only for the breach of essential contractual obligations and limited to foreseeable, typical damages.

8.4

Liability for:

• Loss of profit

• Data loss

• Server downtime

• Consequential damages

is excluded to the extent permitted by law.

9. Right of Withdrawal & Refunds

9.1

There is no right of withdrawal for digital content once performance of the contract has begun.

9.2

By purchasing, the purchaser expressly agrees that Novel Devolution begins providing the Product before the expiration of the withdrawal period.

10. License Violations

10.1

In the event of a violation of these terms, Novel Devolution is entitled to revoke the license with immediate effect.

10.2

Further legal action remains reserved.

11. Final Provisions

11.1

The law of the Federal Republic of Germany shall apply.

11.2

Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
